Natalie N. Bloyer focuses her practice on commercial real estate, corporate and banking transactions.    For over 15 years, Natalie has provided legal counsel to local, regional, national and international clients in a variety of commercial transactions, including drafting and negotiating real estate purchase and sale agreements, leases (office, retail, industrial, apartment complexes) for both landlords and tenants, subleases, land contracts, real estate easement and license agreements, and handling of condemnation matters.  Natalie also has expertise in business entity formation, governance, asset and stock transactions, mergers, acquisitions, reorganizations, corporate compliance and private offerings, as well as general contract drafting and review in connection with ongoing business activities such as distribution, supply and sales of goods agreements.  In addition, Natalie has represented lenders in loan origination and loan modification matters.

Before joining KORO, Natalie was a senior attorney in the Business and Real Estate Transactional and Banking, Bankruptcy & Creditor’s Rights practice groups of a large local firm, Plunkett Cooney PC. Natalie earned her Juris Doctor from Loyola University Chicago School of Law.  While attending law school, she worked as an extern for the Honorable Judge Morton Denlow for the U.S. District Court, Northern District of Illinois. Natalie obtained her Bachelor of Arts from the University of Notre Dame with dual majors in Economics and Psychology, while earning a Monogram Award as a member of Women’s Varsity Swimming and Diving Team.

REPRESENTATIVE CLIENT WORK

Counsel to a Michigan-based company in a series of commercial real estate purchase and sale transactions totaling $3,900,000.00, which transactions were part of a like kind exchange under Section 1031 of the Internal Revenue Code, including drafting and negotiating purchase, exchange, loan and title closing documents.

  • Counsel to a major international corporation in the dissolution and maintenance of numerous international entities, including the review and drafting of various corporate documents.

  • Counsel to a landlord in the negotiation and drafting of numerous commercial leases for a 57,000 square foot retail property.

  • Counsel to a Michigan university in a variety of real estate transactions, including $6,000,000 sale and leaseback.

  • Counsel to a fitness enterprise (with over 20 separate operating entities and additional real estate or corporate holding companies) in its complex reorganization and refinancing, including and drafting a management agreement, employee leasing agreement, membership interest assignments, operating agreements, resolutions, and a variety of other agreements and documents necessary to accomplish such reorganization.

  • Counsel to an Italian-based automotive parts company in the closing of a $75,000,000 loan refinance.

  • Counsel to a national bank in connection with a $1,300,000 loan origination, which involved drafting the loan agreements, notes, mortgages, security agreements, assignments of rents, and guaranties.

  • Counsel to a national lender in connection with the workout of a $10,000,000 agricultural loan, involving collateral of over 1,000 acres of farm land, heifers, and other farm products

  • Counsel to both regional and national financial institutions in commercial loan workouts and loan originations, including the drafting and negotiation of loan agreements, security documents, forbearance agreements, restructure agreements, loan sale agreements, real estate purchase and sale agreements, and deed in lieu documents for lenders.
